“MOTO SOS CLUB”
CHAPTER I
General Provisions
§ 1
- The ordinary association bears the name ASSOCIATION MOTO SOS CLUB, hereinafter referred to in the regulations as the “Association”.
- The Association may also use the abbreviated name “KLUB MOTO SOS” and the abbreviation “KMS” or the international name “MOTO SOS CLUB" and the abbreviation “MSC”.
- The territory of the Association's activity isi all of Poland as well as other countries of Europe and the World.
- The seat of the Association is the town of Siedlce.
- The Association is established for an indefinite period. It operates on the basis of these regulations and the provisions of the Act of April 7, 1989, Law on Associations.
§ 2
- The Club may use organizational badges and patches, as well as seals and logos with the names of the Association “KLUB MOTO SOS”, “MOTO SOS CLUB” and the abbreviations “KMS”, “MSC” in accordance with applicable regulations.
- The activity of the Association is based on the social work of its members.
CHAPTER II
Objectives and Forms of Action
§ 3
- The objectives of the Association are:
- Actions increasing the safety of motorcyclists,
- Supporting members of the Association in improving motorcycle riding techniques,
- Improving motorcycle riding techniques and raising the level of automotive culture among adults and youth,
- Raising the level of knowledge about traffic regulations and road safety,
- Disseminating knowledge in the field of road rescue and providing first aid,
- Helping motorcyclists in case of breakdowns and accidents,
- Supporting motorcyclists in rehabilitation after accidents,
- Supporting motorcycle sports,
- Development and support of motorcycle tourism and sightseeing,
- Organization and practice of motorcycle tourism and other forms of recreation in the country and abroad,
- Activity for the integration of motorcyclists,
- Popularization and promotion of the MOTO SOS application/brand and the Club,
- Integration of the motorcycle community, cooperation with other motorcycle clubs, associations, and institutions,
- Developing the cultural and social life of Club members,
- Supporting initiatives for building roads safe for motorcyclists,
- Social assistance, including help for families and persons after motorcycle accidents,
- Charitable activity,
- Maintaining and disseminating national tradition, cultivating Polishness, and developing national, civic, and cultural awareness,
- Activity for culture, art, protection of cultural property and national heritage.
- The Association realizes its objectives through:
- Organization of motorcycle rallies and integration events for motorcyclists,
- Associating natural persons using the MOTO SOS application,
- Organization/co-organization of training in motorcycle riding techniques,
- Organizing conferences, seminars, training,
- Financial, material, and informational support for families in a difficult life situation after a motorcycle accident,
- Cooperation with manufacturers and sellers of motorcycles, clothing, and motorcycle accessories,
- Organization of trips, rallies, and motorcycle expeditions,
- Participation and representing the club in rallies, events, and training, domestic and international, organized by organizations with a similar profile of activity,
- Cooperation with government and non-governmental institutions, as well as organizations interested in motorcycling, development of motorcycle tourism, and road safety.
CHAPTER III
Rights and Obligations of Members
§ 4
- A member of the Association may be a natural person possessing full legal capacity and not deprived of public rights, being a Polish citizen or a foreigner.
- Admission of new members is made by the Representative by a resolution adopted within 7 days from the date of submitting the declaration via the MOTO SOS mobile application or on the website www.moto.sos.pl / www.motosos.eu or in paper form.
- A supporting member of the Association may be a natural or legal person declaring financial, material, or substantive help in achieving the Association's goals. One becomes a supporting member upon submitting a written declaration based on the Representative's decision made no later than within 14 days from the date of submitting the declaration.
§ 5
1. A member has the right to:
- passive and active participation in elections to the Association's authorities,
- use the achievements and all forms of the Association's activity,
- participate in meetings, lectures, and events organized by the Association,
- submit motions regarding the Association's activity.
§ 6
1. A member is obliged to:
- take part in the Association's activity and in the realization of its goals,
- participate in general meetings of members,
- comply with the Regulations and resolutions of the Association's authorities,
- regularly pay membership fees,
- dignifiedly represent the Association.
§ 7
1. A supporting member has the right to:
- use the achievements and all forms of the Association's activity,
- participate in meetings, lectures, and events organized by the Association,
- submit motions regarding the Association's activity,
- participate with an advisory vote in the Association's authorities.
§ 8
- A supporting member is obliged to fulfill the declared benefits, comply with the Regulations and resolutions of the Association's authorities.
§ 9
- Membership in the Association ceases as a result of:
- voluntary written resignation from membership in the Association submitted to the Representative,
- loss of civil rights by virtue of a valid court judgment,
- death of a member or loss of legal personality by a supporting member.
- exclusion by the Representative:
– due to unjustified arrears in payment of membership fees or other obligations, for a period exceeding six months,
– due to gross violation of regulatory principles, non-compliance with provisions and resolutions of the Association's authorities,
– due to lack of signs of active activity for the benefit of the Association.
2. A person excluded or removed has the right to appeal to the Meeting of Members
within 14 days from the date of delivery of the resolution in writing. The Meeting of Members considers
the appeal during the next session, and its decision is final.
CHAPTER IV
Club Authorities
§ 10
1. The authorities of the Association are:
- Meeting of Members (General Meeting),
- The Representative.
2. Decisions of the Meeting of Members are made in an open vote. The Meeting may decide to conduct a secret ballot.
3. Resolutions of the Meeting of Members of the Association are adopted by a simple majority of votes in the presence of at least half of the persons entitled to vote, unless the statute provides otherwise.
4. The Meeting of Members is the highest authority of the Association, which makes decisions in
all matters belonging to the scope of the Association's activity, unless the regulations provide
otherwise.
5. The Ordinary General Meeting is convened by the Representative at least once a year, by notifying members using electronic mail or other means of communication used by all members of the Association (e.g., by posting information on the Internet on the club forum) about its date, place, and proposed agenda, at least 14 days before the date of the General Meeting. The above mode should be adopted as
binding also in the case of notifying members of the Association about other events significant for the Club.
6. The General Meeting of Members may take place physically or online on the Google Meet platform.
7. Attendance list:
- physical meeting – signed by hand by each person,
- online meeting – the “signature” is, e.g., a print screen / print screens from the messenger screen
with the names and surnames of persons.
8. Online voting takes place using a poll on Google Meet after completion
of voting, a report is available containing names, surnames, and responses of participants.
9. The competencies of the General Meeting include, among others:
- establishing directions of action and development,
- election and dismissal of the Representative,
- establishing the amount of monthly/annual membership fees
- adopting amendments to the regulations,
- making decisions on the dissolution of the Association,
- making decisions on the acquisition and disposal of real estate or the right of perpetual usufruct,
- making decisions on establishing a limited property right,
- making decisions on concluding a credit or loan agreement,
- making decisions on debt assumption, debt acknowledgment, release from debt, accession to debt, concluding a surety agreement, or concluding another similar agreement,
- making decisions on incurring other obligations exceeding the value of PLN 20,000.
10. The Meeting of Members is convened by the Representative on their own initiative or at the request of 1/3
of the Association's members. The Meeting of Members is led by the Chairman of the Meeting.
11. The Association is represented by the Representative elected by the Meeting
of Members for a 5-year term. The Representative may be dismissed by the Meeting of Members.
12. The Representative is appointed to direct the entire activity of the Association in accordance with the resolutions of the General Meeting of Members, and also represents the Association externally.
13. The scope of the Representative's activity includes:
- representing the Association externally,
- managing the Association's assets,
- convening the Meeting of Members,
- concluding cooperation agreements with companies, organizations, and state institutions,
- implementing resolutions of the General Meeting,
- admitting members and depriving of the dignity of being a member,
- realizing the goals of the Association.
14. Making a decision by the Representative exceeding the scope of ordinary management
requires the prior consent of all members of the Association and granting by
them a power of attorney to perform these activities.
- acquisition and disposal of real estate or the right of perpetual usufruct,
- establishing a limited property right,
- concluding a credit or loan agreement,
- debt assumption, debt acknowledgment, release from debt, accession to debt, concluding a surety agreement, or concluding another similar agreement,
- incurring other obligations exceeding the value of PLN 10,000.
CHAPTER V
Association Assets
§ 11
1. Funds for the Association's activity come from:
a. membership fees,
b. grants,
c. donations,
d. subsidies,
e. public collections,
f. inheritances, bequests,
g. income from the Association's assets,
h. receipts from sponsors.
2. The Association's assets may not be disposed of inconsistently with the goals of the Association.
CHAPTER VI
Amendment of Regulations, Dissolution of the Association
§ 12
1. Amendments to the Regulations may occur only by a resolution of the General Meeting
adopted by an absolute majority of votes (50% +1 vote) in the presence of at
least half the number of members.
2. The General Meeting adopts a resolution on the subject of dissolution of the Association or amendment of
the Regulations by a 2/3 majority in the presence of at least half the number of members.
3. In the event of self-dissolution of the Association, the Representative becomes
the liquidator by
virtue of Art. 36 para. 1 of the Law on Associations. The liquidator decides on
the allocation of the Association's assets, provided that the purpose for which it is to be allocated must
be consistent with the goals of the Association.
4. In matters not covered by these Regulations, the provisions
of the Act - Law on Associations shall apply.
